These Terms of Service ("Terms") are a binding agreement between you and Lesly Tech LLC, High Point, NC, USA ("we", "us", "GATE-777"), governing your use of gate777ai.com and every service offered there (the "Service"). By creating an account or using the Service, you accept these Terms. If you do not accept them, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and legally able to enter into a contract. If you use the Service on behalf of a company or other organisation, you represent that you are authorised to bind it, and "you" then means that organisation.

You are responsible for everything that happens under your account, including keeping your password confidential. Tell us at support@gate777ai.com as soon as you suspect unauthorised use.

2. What the Service does

GATE-777 generates text, images, audio, video and code from prompts you supply, using artificial intelligence models operated by us and by third-party providers. The Service is a tool. It does not provide legal, medical, financial, or other professional advice, and its output is not a substitute for professional judgement.

3. Plans, credits and billing

The Service is offered on a free Discovery plan and on paid plans. Paid plans are billed in advance through Stripe, our payment processor. We never see or store your full card details.

• Subscriptions (Starter, Studio, Agency) renew automatically each month at the price shown at the time of purchase, until you cancel. Each renewal resets your plan allowance for the new period. Unused plan credits do not carry over.
• Prepaid credit packs are one-time purchases. Their credits are added to your balance, accumulate on top of each other, and remain available for as long as your account is open.
• Prices are in US dollars and exclude any tax that may apply where you are.

We may change our prices. A change to a subscription price applies from your next renewal, and we will tell you before it takes effect. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the period you have already paid for.

Refunds are governed by our Refund Policy.

4. Your content and the output you generate

Your input stays yours. You keep all rights in the prompts, files and material you submit ("Input"). You grant us a limited licence to host, process and transmit that Input for the sole purpose of operating the Service for you.

Output belongs to you. As between you and us, we assign to you all rights we may have in the material the Service generates from your Input ("Output"), to the fullest extent the law allows.

Two limits you need to understand:

• AI models can produce similar or identical Output for different users giving similar prompts. We cannot promise that your Output is unique, nor that it is protectable by copyright — in several jurisdictions, purely machine-generated material is not.
• Output may be inaccurate, outdated, offensive, or may resemble existing protected works. You are responsible for reviewing Output before you use it, and for making sure your use of it complies with the law and with any third party's rights.

You represent that you hold the rights to every Input you submit and that submitting it does not infringe anyone's rights or break any law.

5. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which forms part of these Terms. We may suspend or close an account that breaches it.

You also agree not to resell, sublicense or provide the Service to third parties as your own product, not to use automated means to extract data from the Service beyond any API we publish, not to attempt to reverse-engineer the Service or the models behind it, and not to circumvent credit limits, rate limits or access controls.

6. Third-party AI providers

To generate Output we transmit your Input to third-party model providers. Their processing of that data is described in our Privacy Policy. Their availability is outside our control, and an interruption on their side may interrupt the Service.

7. Availability

We work to keep the Service available, but we do not guarantee uninterrupted operation. We may suspend the Service for maintenance, security or legal reasons, and we may add, change or withdraw features. Where an interruption is planned and significant, we will give notice if we reasonably can.

8. Suspension and termination

You may close your account at any time from your dashboard or by writing to support@gate777ai.com. We may suspend or terminate your access, with notice where practicable, if you breach these Terms or the Acceptable Use Policy, if your payment fails, or if we are required to do so by law. Serious breaches — in particular those endangering others — may be acted on immediately.

On termination, unused credits are forfeited except where the Refund Policy or applicable law says otherwise, and your right to use the Service ends. Sections 4, 9, 10, 11 and 12 survive.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability. Some jurisdictions do not allow the exclusion of certain warranties; in that case this section applies to the fullest extent permitted there.

10. Limitation of liability

To the maximum extent permitted by law, neither we nor our suppliers are liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Service, even if we were advised such damages were possible.

Our total liability for all claims relating to the Service in any twelve-month period is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or fifty US dollars (US$50).

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

11. Indemnity

You will defend and indemnify Lesly Tech LLC against any claim, loss or expense (including reasonable legal fees) arising from your Input, your Output, your use of the Service, or your breach of these Terms or of any law.

12. Governing law, arbitration and class-action waiver

Please read this section carefully. It affects how disputes between us are resolved.

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules.

Informal resolution first. Before starting any formal proceeding, you agree to write to support@gate777ai.com describing the dispute, and to allow us sixty (60) days to resolve it.

Binding individual arbitration. If the dispute is not resolved, you and we agree that it will be settled by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, in Guilford County, North Carolina, or by videoconference at your election. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or account security.

Right to opt out. You may opt out of this arbitration and class-action-waiver section by writing to support@gate777ai.com within 30 days of first accepting these Terms, stating your name, the e-mail address on your account, and that you opt out of arbitration. Opting out does not affect the rest of these Terms.

If the class-action waiver is held unenforceable as to a claim, that claim is severed from arbitration and heard in the courts of Guilford County, North Carolina.

Mandatory consumer-protection rules of the country where you live continue to apply where they cannot be waived by contract, and nothing here deprives you of the protection of those rules.

13. Changes to these Terms

We may update these Terms. We will post the new version here with a new "last updated" date, and for material changes we will notify account holders by e-mail at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new Terms.

14. Miscellaneous

These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy and Cookie Policy, are the whole agreement between us. If a provision is held invalid, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
